Terms of Service

These Terms of Service ("Terms") govern your access to and use of the XchangeHero platform and services provided by XchangeHero Ltd ("XchangeHero", "we", "us"). By registering for or using XchangeHero, you agree to be bound by these Terms.

1. The service

XchangeHero is a cloud-based CRM platform designed for UK estate agents. It provides deal pipeline management, chain tracking, AI inbox processing, buyer matching, and related tools ("the Service").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

2. Accounts and access

To use XchangeHero you must:

  • Be at least 18 years old.
  • Register with accurate, current information.
  • Keep your login credentials confidential and not share them with others.
  • Notify us immediately at [email protected] if you suspect unauthorised access.

You are responsible for all activity that occurs under your account.

3. Free trial

New accounts receive a 14-day free trial. No credit card is required to start. At the end of the trial, you may choose a paid plan to continue. If you do not subscribe, your account will be deactivated and your data retained for 90 days before permanent deletion.

4. Subscriptions and payment

Paid subscriptions are billed monthly in advance. Prices are as displayed on the pricing page at the time of subscription. All prices are in GBP and exclusive of VAT where applicable.

Payment is processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis until you cancel.

If a payment fails, we will notify you and attempt to retry. Access to the Service may be suspended if payment is not received within 7 days of the due date.

5. Cancellation

You may cancel your subscription at any time from your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period. We do not offer partial-month refunds.

6. Your data

You retain full ownership of all data you enter into XchangeHero — contacts, properties, deals, and any other records. We process this data on your behalf to provide the Service.

On cancellation or account closure, your data is retained for 90 days. During this period you may request an export. After 90 days, your data is permanently deleted.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload or transmit any data that infringes a third party's intellectual property rights or privacy rights.
  • Attempt to gain unauthorised access to any part of the Service or its underlying systems.
  • Use the Service to send unsolicited communications (spam).
  • Reverse-engineer, decompile, or attempt to derive source code from the Service.
  • Use the Service in a way that could damage, disable, or impair it for other users.

We reserve the right to suspend or terminate accounts that violate these rules without notice.

8. AI inbox agent

The AI Inbox Agent processes emails you forward or connect to XchangeHero in order to extract deal-relevant information. By using this feature, you confirm you have the right to process these emails and that doing so complies with any applicable data protection obligations you have towards the senders.

AI-generated outputs are provided for convenience only. You are responsible for reviewing and verifying any information extracted by the AI before acting on it.

9. Intellectual property

XchangeHero and all its components — including software, design, trademarks, and documentation — are owned by XchangeHero Ltd and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.

10. Limitation of liability

To the maximum extent permitted by law, XchangeHero Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to XchangeHero in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Warranties

The Service is provided "as is". We make no warranty that the Service will be uninterrupted, error-free, or completely secure. We aim for high availability but do not guarantee uptime.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
